1. Introduction

These Terms and Conditions ("Terms") govern the use of the document exchange portal (the " VendorHub "), owned and operated by CASPIAN DRILLING COMPANY LIMITED (the "Owner"), where vendors and authorized employees may upload, exchange and manage necessary documents. By accessing and using VendorHub, all users agree to comply with these Terms.

2. User Access and Responsibilities

1. Each company ("User") shall designate specific employees ("Authorized Users") responsible for uploading and managing documents on VendorHub.
2. Users shall ensure that only relevant, complete, and accurate documents are uploaded in compliance with applicable laws, agreemtents and contracts, and internal policies.
3. Users shall not upload documents containing unlawful, incomplete, misleading, fraudulent, virus-infected, or harmful software, nor content that infringes intellectual property rights, violates confidentiality obligations, or compromises VendorHub's security.
4. Users must regularly monitor uploaded documents.
5. Users must promptly notify the Owner of any actual or suspected security breaches or unauthorized access the right to remove any non-compliant documents and restrict access to User and Authorized Users violating these Terms.

3. Security and Confidentiality

1. Users are responsible for maintaining the confidentiality of their login credentials.
2. Unauthorized access or sharing of credentials is strictly prohibited.
3. The Owner shall take appropriate security measures to protect documents stored within VendorHub but shall not be liable for any unauthorized access due to negligence by Users and / or Authorized Users.

4. Document Ownership and Liability

1. Users retain ownership of the documents they upload but grant the Owner a limited license to use and process such documents for VendorHub’s operation.
2. Users are solely responsible for the accuracy, legality, and reliability of the documents uploaded.
3. The Owner is not liable for any damages resulting from the upload of unlawful, incorrect, or unauthorized documents.

5. Termination and Access Restriction

1. The Owner reserves the right to suspend or terminate access to VendorHub if a User or Authorized Users violates these Terms.
2. Users must notify the Owner immediately in case any of their designated Authorized Users resign or are no longer authorized to access VendorHub, to ensure timely revocation of access.

6. Amendments

The Owner reserves the right to amend these Terms at any time. Any changes to these Terms and Conditions will be shared on VendorHub and continued use constitutes acceptance of the modified Terms.
